OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. PURCHASE WILL NOT IMPROVE CHANCES OF WINNING.

1. ELIGIBILITY:

The Friskies® Tasty Treasures® Golden Can Sweepstakes Promotion (the "Promotion" or “Sweepstakes”) is offered only to individuals who are legal residents of, and residing in, the 50 United States or District of Columbia and at least 18 years old at time of participation. Employees, officers, directors, managers and members of Nestlé Purina PetCare Company ("Sponsor"), and its parent, affiliated and subsidiary companies, advertising and promotion agencies, and persons engaged in the development of Promotion materials and wholesalers, distributors and retailers of Sponsor products, and members of the immediate family (parents, siblings, children and spouse, wherever they reside) or household members (whether or not related) of such employees, officers, directors, managers and members are not eligible. Groups, clubs, organizations, commercial entities, and businesses cannot participate. By participating, you (and if you are a minor in the jurisdiction in which you reside, your parent/legal guardian) agree to these Official Rules and all decisions of the Sponsor and its Administrator, an independent judging and administration organization, which are final and binding in all respects. Void where prohibited.

2. PROMOTIONAL PERIOD:

Approximately 1,441,000 variety packs of Friskies® Tasty Treasures® cat food will be distributed by Sponsor commencing on or about June 1, 2011. Ten (10) winning game pieces will be randomly available on cans wrapped in golden labels inside such variety packs or via mail for free. Game ends when all variety packs have been distributed, but not later than February 24, 2012 (the “Promotion Period”). All prize claims must be received by March 2, 2012 or prizes will be forfeited.

3. HOW TO PARTICIPATE:

Commencing on or about June 1, 2011, look for specially marked 4-count and 12-count variety packs of Friskies® Tasty Treasures® cat food at participating retail stores. If variety pack contains a can with a golden label and a winning game piece, follow instructions on game piece to claim prize indicated on the piece. All prize claims are subject to verification. If a label is not golden and the can does not have a winning game piece on it, it is not a winner. You may play the game without a purchase. We will play the game for you for free while supplies last and enter you in the Second Chance Drawing (as defined in Section 4) if you hand-print your name, mailing address and daytime and evening telephone numbers on a 3 x 5 card and mail it in a separate outer envelope to: Friskies Tasty Treasures Golden Can Sweepstakes Request for Play, PO Box 9010, St. Louis, MO 63101-9010. One play per mail-in request. Mail-in requests for free plays must be postmarked by February 24, 2012 and received by March 2, 2012. Only winners will be notified; all others will be entered into the Second Chance Drawing. You may also enter the Second Chance Drawing as often as you wish by hand-printing your name, mailing address and telephone number on a 3 x 5 card and mailing it in a separate outer envelope to: Friskies Tasty Treasures Golden Can Sweepstakes Second Chance Drawing, PO Box 8770, St. Louis, MO 63101-8770 (“Second Chance entries”). Second Chance entries must be postmarked by February 24, 2012 and received by March 2, 2012. No copies, facsimiles or reproductions of requests for free plays or Second Chance entries accepted.

4. PRIZES and ODDS OF WINNING:

There are ten (10) Grand Prizes. Grand Prize is $10,000 payable by check to winner. (Approx. retail value is $10,000.) Odds of winning Grand Prize are 1:144,100. Total Approx. retail value of all prizes is $100,000. Unclaimed prizes will be awarded in a random drawing conducted on or about March 9, 2012, from among all Second Chance entries and all non-winning requests for free plays (“Second Chance Drawing”). Odds of winning a prize in Second Chance Drawing depend on the number of unclaimed prizes and the number of entries received.

5. HOW TO CLAIM PRIZE:

If you think you have a winning game piece call toll free the number listed on your game piece (from U.S. only), during the business hours of 9:00 a.m. and 4:30 p.m. CT for further prize instructions. Prize administrator must be contacted with all prize claims by 4:30 p.m. CT March 2, 2012. All winners will be asked to provide contact information and will be sent a packet of information including an Affidavit of Eligibility, a Liability Release, Publicity Release, IRS W-9 paperwork, a pre-paid return overnight delivery envelope (“Claim Materials”) and further instruction on claiming your prize. All prize Claim Materials are the property of Sponsor and will not be returned. Claim Materials must be completed and returned within 14 days from date on notification paperwork. No facsimiles, copies or reproductions accepted. Proof of mailing does not constitute proof of delivery. If documents are not returned on a timely basis, or if any notification or prize is returned as non-deliverable, or if a winner is found to be ineligible or not in compliance with these Official Rules, it will be awarded to an alternate winner in the Second Chance Drawing. Taxes, if any, on prizes are the sole responsibility of winners.

All prize claims are subject to verification by an independent judging organization whose decisions are final. Prizes cannot be transferred, assigned, substituted, or redeemed for cash, but Sponsor reserves right to substitute prizes, at its discretion, with cash or prizes of equal or greater value should a prize become unavailable.

If a winner is an eligible minor in his/her jurisdiction of residence, prize may be awarded in the name of, or to, winner’s parent/legal guardian who must execute all Claim Materials and agree to all obligations and undertakings of winner, both on behalf of himself/herself and winner.

6. GENERAL CONDITIONS:

Participants (and each participant’s parent/legal guardian if participant is a minor) agree: (a) that Sponsor, and its parent, affiliated and subsidiary companies, advertising and promotion agencies, wholesalers, distributors and retailers, and each of their respective officers, directors, employees, representatives and agents (individually and collectively "Releasees") will have no liability whatsoever for, and shall be indemnified and held harmless by participants (and each participant’s parent/legal guardian if participant is a minor) against any liability for any injuries, losses or damages (whether due to negligence or otherwise) of any kind to person(s), including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize and (b) winners (and winner’s parent/legal guardian if winner is a minor) grant (and agree to confirm such grant in writing promptly upon request) to the Sponsor and those acting under the Sponsor’s authority, the right to the use of his/her name, photograph, likeness, voice, image, statements and biographical information in perpetuity, at any time or times, for advertising, trade, publicity and promotional purposes in any media now known or hereafter discovered, worldwide, including the Internet, without review, notification or approval, and without additional compensation, unless prohibited by law.

7. VERIFICATION:

You are not a winner until your game piece and Affidavit of Eligibility (see Section 5) are verified and your prize Claim Materials are fully executed. All game piece submissions will be reviewed for authenticity. All submitted materials become the sole property of the Sponsor, and will not be returned. If it is determined that there are any irregularities in any materials submitted and/or the participant is not eligible, disqualification and prize forfeiture may result. Game pieces themselves will be void if they contain printing or other mechanical errors or are printed or produced in error, or if they fail to contain special anti-fraud security markings that may be applied at the time of production or if not obtained through authorized, legitimate channels, or if any part is defective, illegible, altered, duplicated, photocopied, reproduced, forged, counterfeited, defaced, mutilated or tampered with in any way, or if they contain, or are the result of, a printing, seeding, typographical, mechanical, digital, electronic or any other errors. Sole liability for any game pieces containing printing or other irregularities and/or errors, or which reveal an illegible or unreadable prize for any irregularity is limited to replacement with a free randomly selected play while supplies last. No more than the stated number of prizes will be awarded. In event that production, seeding, printing, electronic, digital or programming errors or failures, or any other reasons or errors cause more than the stated number of prizes set forth in these Official Rules to be available and/or claimed, the Sponsor reserves the right to award only the number of prizes stated in these Official Rules (previously not awarded), by a random drawing among all legitimate, eligible prize claimants for prizes in that category.

8. LIMITATIONS OF LIABILITY:

Releasees are not responsible for lost, late, incomplete, stolen, misdirected, postage due or illegible, mail, requests, entries or email; any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/Web site/use net accessibility, availability, or traffic congestion; any technical error; unauthorized human intervention; the incorrect or inaccurate capture of any participant entry or other information; or the failure to capture, or loss of, any such information. Releasees are not responsible for any incorrect or inaccurate information, whether caused by Web site users, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Promotion and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft or destruction or unauthorized access to the Web site. The right is reserved by the Sponsor at its sole discretion, to disqualify any individual found, at their sole discretion, to be tampering with the entry process or the operation of the Promotion, to be acting in violation of these Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. If, for any reason, the Promotion, as solely determined by Sponsor, is not capable of running as planned by reason of, but not limited to tampering, unauthorized intervention, fraud, or any other causes which the Sponsor, in its sole opinion, deems could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, the Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion or proceed with the Promotion in a manner deemed fair and appropriate by the Sponsor.

9. DISPUTE RESOLUTION/CHOICE OF LAW:

Except where prohibited, participants (and participant’s parent/legal guardian if participant is a minor) agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Promotion shall be resolved individually, without resort to any form of class action, and exclusively by an action in state or federal court located in the City or County of St. Louis, State of Missouri and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Promotion but in no event attorney's fees; and (c) UNDER NO CIRCUMSTANCES WILL PARTICIPANT BE PERMITTED TO OBTAIN JUDICIAL AWARDS AND PARTICIPANT HEREBY WAIVES ALL RIGHTS TO CLAIM PUNITIVE, INCIDENTAL AND CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGED MULTIPLIED OR OTHERWISE INCREASED. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and/or the Releasees in connection with this Promotion, shall be governed by, and construed in accordance with, the laws of the State of Missouri without regard for conflicts of law doctrine of any jurisdiction.

11. WINNERS LIST:

For the name(s) of grand prize winner(s) mail a self-addressed, first class stamped envelope to Friskies Tasty Treasures Golden Can Sweepstakes Winner’s List Request, PO Box 8770, St. Louis, MO 63101-8770. Requests must be received by March 2, 2012.
